Terms of Service

xcelit (“we”, “us”, “the Platform”) provides tools for:

• Project creation, publishing, and discovery
• Team formation — founders posting roles, builders applying and collaborating
• Workspace coordination — tasks, Kanban boards, member management
• Execution tracking — GitHub integration, commit history, and activity logs
• Financial metric collection — MRR, ARR, and billing data via Stripe Connect and Paddle
• Product analytics — founder-connected PostHog metrics
• Evidence generation — verifiable execution records visible to investors
• Investor tooling — watchlists, deal flow, weekly digests, and signal review

Feature availability may change as the product evolves. Not all features are available to all account types or subscription tiers. We reserve the right to modify, limit, or discontinue any feature with reasonable notice.

To use xcelit, you must be at least 16 years old and legally capable of entering a binding agreement under the laws of your jurisdiction. Users under 18 require parental or guardian consent.

If you register on behalf of a company, startup, or other organization, you represent that you have the authority to bind that entity to these Terms, and “you” in these Terms refers to that entity.

xcelit is not available in jurisdictions where it is prohibited by law. It is your responsibility to ensure your use of the Platform complies with local law.

You are responsible for:

• Providing accurate, current, and complete account and profile information
• Keeping your login credentials (OAuth tokens, session cookies) secure
• All activity that occurs under your account, whether authorized by you or not
• Notifying us immediately of unauthorized account access at support@xcelit.co.in

xcelit accounts are personal and non-transferable. You may not share, sell, or transfer your account to another party. You may hold one personal account; company accounts must be registered under a valid company profile.

We are not liable for losses resulting from unauthorized access to your account caused by your failure to maintain reasonable credential security.

Founders creating projects must ensure that:

• All project details are accurate, complete, and not misleading
• The project represents a real initiative with genuine intent to build
• Compensation ranges disclosed (where applicable) are honest and realistic
• Content complies with all applicable employment, contracting, and anti-discrimination laws
• Postings do not contain spam, illegal content, or abusive material

Builders applying to projects must ensure that:

• Applications are submitted in good faith with genuine intent to collaborate
• Skills, experience, and portfolio information are accurate and not fabricated
• Applications are not sent in bulk, unsolicited, or as spam

xcelit reserves the right to remove any project listing or application that violates these requirements, with or without notice.

Platform subscriptions — xcelit offers CORE and PRO membership tiers processed via PayPal and Razorpay. Subscription fees are charged at the frequency selected at purchase. All fees are stated in USD or INR as displayed at checkout and are non-refundable except where required by applicable law.

Billing verification — founders may optionally connect Stripe or Paddle to verify revenue metrics. This is a data-sharing integration for credibility purposes; xcelit does not charge commission on founder revenue.

Builder compensation — arrangements between founders and builders are made directly between those parties. xcelit is not a party to, and takes no responsibility for, compensation agreements, employment status, tax withholding, or payment disputes arising from project collaborations.

All payment processing is handled by third-party providers. Their terms and privacy policies apply to your transactions with them.

Your content — you retain ownership of all content you post on xcelit, including project descriptions, profiles, files, and media. By posting content, you grant xcelit a non-exclusive, worldwide, royalty-free license to store, display, process, and transmit that content as necessary to operate and improve the Platform.

Our platform — the xcelit name, logo, product design, codebase, and all Platform content produced by xcelit are protected intellectual property. You may not reproduce, distribute, reverse-engineer, or create derivative works from them without our written permission.

Builder work product — intellectual property created through project collaborations belongs to the parties who agreed to it. xcelit makes no claim to work created by builders for founders. IP ownership should be documented separately between collaborating parties.

xcelit integrates with the following external services to power platform features:

• GitHub — commit history, repository activity, and execution tracking via the xcelit GitHub App
• Stripe & Paddle — revenue verification and billing metric syncing for founders
• PostHog — founder product analytics (active users, retention, session data)
• PayPal & Razorpay — platform subscription billing
• Google & GitHub OAuth — account authentication
• Resend — transactional email delivery
• UploadThing — file and media storage

Your use of connected services is governed by their own terms and privacy policies. xcelit is not responsible for the availability, security, or data practices of third-party providers. When you connect a third-party account, you authorize xcelit to access only the data within the permission scope you grant.

You may not use xcelit to:

• Impersonate any person, company, or organization
• Submit false, fraudulent, or deliberately misleading information
• Harass, threaten, intimidate, or abuse other users
• Post discriminatory content based on race, gender, religion, nationality, disability, or other protected characteristics
• Scrape, crawl, or systematically extract platform data without written authorization
• Attempt to bypass, exploit, or circumvent any security, access control, or rate limit
• Use the Platform for money laundering, fraud, or any illegal financial activity
• Spam users with unsolicited messages or bulk applications
• Reverse-engineer, decompile, or copy proprietary platform components
• Manipulate execution data or fabricate metrics to mislead investors
• Use automated tools, bots, or scripts to interact with the Platform without authorization

Violations may result in immediate suspension or permanent termination without prior notice.

By creating an account, you agree to receive service communications necessary to operate the Platform — including security alerts, account activity notifications, billing confirmations, and critical product updates. These cannot be opted out of while your account remains active.

Optional communications — including investor digest emails, match suggestions, weekly project summaries, and promotional updates — can be managed in your notification preferences at any time.

xcelit may suspend or permanently terminate your account for: violations of these Terms, legal or regulatory obligations, activity that poses risk to other users or the Platform, or repeated policy breaches. We will notify you where it is practical and safe to do so, but reserve the right to act without notice in urgent cases.

You may delete your account at any time via account settings. Upon deletion, your personal profile and private data are removed. Data that has been shared within project workspaces with other members may be retained in a de-identified or anonymized form.

Subscriptions cancelled mid-cycle do not receive prorated refunds unless required by applicable law. Access continues until the end of the paid billing period.

xcelit is provided on an “as is” and “as available” basis. We make no warranties — express or implied — regarding uninterrupted uptime, error-free operation, data accuracy, matching quality, hiring outcomes, or investment results.

Execution records, financial metrics, and investor-facing signals are informational only. They do not constitute investment advice, financial guidance, or endorsement of any startup, founder, or project. Investors must conduct independent due diligence before making any investment decision.

Third-party integrations (GitHub, Stripe, PostHog, etc.) may experience outages or data gaps. xcelit does not guarantee the accuracy or completeness of externally sourced data.

To the maximum extent permitted by applicable law, xcelit and its team shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, revenue, business opportunities, or reputation — arising from your use of or inability to use the Platform.

Our total aggregate liability to you for any claim shall not exceed the greater of: (a) the total amount you paid to xcelit in the 3 months immediately preceding the claim, or (b) ₹500 INR / $10 USD.

Nothing in these Terms limits liability for death, personal injury, or fraud caused by our negligence where such limitation is prohibited by law.

You agree to indemnify, defend, and hold harmless xcelit, its team members, advisors, and service providers from and against any claims, liabilities, damages, judgments, and expenses (including reasonable legal fees) arising from:

• Your content posted on the Platform
• Your conduct toward other users
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any misrepresentation you make to investors, builders, or founders on the Platform

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law provisions. Any legal disputes arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of courts located in Punjab, India, unless otherwise required by applicable mandatory law.

We may revise these Terms as the product, legal environment, or security context changes. For material changes, we will provide at least 14 days' notice via in-product notification or email before the new Terms take effect. For minor changes (corrections, clarifications), the updated Terms will be effective immediately upon posting.

Your continued use of xcelit after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Platform and delete your account.

• xcelit / Platform — the xcelit website, applications, APIs, and all related services operated by xcelit.
• User — any individual or organization with an active xcelit account, including Founders, Builders, and Investors.
• Founder — a company-type account holder who creates and manages projects.
• Builder — an individual account holder who discovers and collaborates on projects.
• Investor — a user with an Insights subscription who reviews execution records and deal flow.
• Project listing — a published opportunity posted by a Founder to find collaborators.
• Workspace — the private collaboration environment linked to a project, accessible to team members.
• Execution record — the automatically generated, verifiable activity log derived from connected integrations (GitHub, Stripe, PostHog).
• Content — any text, images, data, files, or other material you post, upload, or transmit on the Platform.

If any provision of these Terms is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force. Failure by xcelit to enforce any provision is not a waiver of our right to do so in the future.
